Terms of Use Agreement for Service Providers (Complexes and Attractions) in the Innwaze System

Everything stated in this agreement in the masculine gender implies the feminine as well. Everything stated in this agreement in the singular implies the plural as well.

Welcome to the Innwaze system (as defined below). Innwaze is a product owned by Iskdoo Ltd. (hereinafter: the "Company"). The system includes diverse tools through which content or any other information related to the Business (as defined in this agreement below) and appearing in the Innwaze system can be uploaded, embedded, and requested to be changed. The Service Provider will receive access to the Innwaze Management System (as defined in this agreement below). Access and use as a provider in the Management System is offered to you subject to your acceptance of all terms in this agreement without any change on your part. We reserve the right at any time, and at our sole discretion, to change and/or amend and/or cancel terms, definitions, and sections in this agreement without the need for prior notice. Use of the Management System indicates your agreement to the terms of this agreement. You are requested to read it very carefully and revisit and check it from time to time.

1. Definitions

In these terms of use, the following terms shall have the meanings set forth beside them, unless stated otherwise:

"The System" - Any derivative of websites, mobile applications, and technological tools owned, controlled, managed, or maintained by Innwaze, through which Innwaze services can be obtained and tourism services can be booked.

"Management System" - Online software that will be made accessible to the Service Provider (after identification) for the purpose of managing the Business, including registration, modification, correction, and updating of information, inventory management (rooms/tickets), and management of direct orders and online orders.

"Innwaze Site" - The platform that centralizes all Businesses (accommodation complexes and attractions) registered in the system and allows online booking by users.

"Booking Engine" - A technological component displaying available Service Units (rooms, tickets, appointments) of the Business and allowing online booking and payment.

"Business Home Site" - A website for the Business built and provided by Innwaze (or an independent site connected to the Innwaze Booking Engine) displaying the Business and allowing booking.

"Online Booking Agent (OTA)" - External booking sites (such as Booking.com, Airbnb, Expedia, Viator, GetYourGuide) connected to the Innwaze system via a Channel Manager.

"Service Provider" - The legal entity owning the Business and/or its authorized representative using the Management System.

"The Business" - The accommodation, attraction, complex, or tourism activity managed in the system. This definition includes accommodation complexes (B&Bs, villas, boutique hotels) and attraction complexes (tours, workshops, visitor centers, spas, etc.).

"Service Unit" - The product sold by the Business, including an accommodation room, entrance ticket, participation in an activity, etc.

"Customer/Guest" - Anyone visiting the system and making a booking or purchasing a service from the Business.

"Commission" - Payment to Innwaze from the total transaction, for bookings made through the system or connected channels.

2. Service Provider Declarations and Obligations

2.1. The Service Provider undertakes that he is over 18 years of age and holds the legal authority to commit on behalf of the Business. Use of the system will be done in accordance with this agreement.

2.2. The Service Provider is solely responsible for access to the Management System and will not allow access to anyone not authorized on his behalf.

2.3. Information about the Business:

2.3.1. The information displayed in the system will include details about the Business, photos, service descriptions, availability (room/ticket inventory), rates, cancellation policy, and additional restrictions.

2.3.2. It is prohibited to include direct contact details (phone, email, link to external site) in the business description that bypass the Innwaze booking system, unless approved otherwise in writing. We reserve the right to edit or remove information violating this condition.

2.3.3. The Service Provider declares that the displayed information is true, accurate, and not misleading. The Provider is responsible for updating the system in real-time regarding availability, changes in operating hours, renovations, or any other limitation.

2.3.4. Prevention of Double Booking: The Service Provider is solely responsible for inventory management and preventing double bookings. It is mandatory to enter into the Management System any order received via a direct channel (phone/counter) immediately to deduct from the online available inventory.

3. Consideration

3.1. Basic services (use of the Management System, Home Site, channel connection) are provided subject to the agreed commission model and/or subscription fees.

3.2. The Service Provider shall pay commissions on online bookings according to the booking source:

3.2.1. Booking from the Innwaze Site (Central Platform) – 10% of the total booking price.

3.2.2. Booking from the Direct Home Site / Business Booking Engine – 10% of the total booking price.

3.2.3. Booking from an external Online Booking Agent (OTA) – 1% technological fee (in addition to the commission paid to the OTA itself).

3.3. Commission Calculation: The commission will be calculated as a derivative of the total (gross) price of the order made by the customer, including VAT and any other addition included in the sales price at the time of booking.

3.4. Commission payment applies to every confirmed booking, including cases of cancellation fee collection or "No-Show". In case of Overbooking due to Provider's fault, the commission shall be paid even if the service was not actually provided at the original Business.

3.5. A booking cannot be cancelled in the system and re-registered manually to avoid commission payment. Such action will be considered a fundamental breach.

3.6. Monthly Subscription Fees (for Attraction and Activity Providers only):

3.6.1. In addition to the commissions detailed above (if any), a Service Provider classified in the system as an "Attraction", "Activity", or "Tourism Support Business", shall pay fixed monthly subscription fees in the amount of 90 NIS plus VAT as required by law.

3.6.2. Subscription fees will be collected automatically once a month, via the payment method (credit card) entered into the system.

3.6.3. The Company reserves the right to change and update the subscription fee amount from time to time, at its sole discretion. Notice of a rate change will be delivered to the Service Provider at least 30 days before the change takes effect.

3.6.4. A rate change will apply to users starting from the next billing date following the entry of the change into effect, and will not apply retroactively.

4. Commission Payment

4.1. The commission will be paid in the month following the service realization date (check-out or activity date). An invoice will be produced on the 2nd of each calendar month.

4.2. Commission collection will be performed via the credit card defined in the system, within 10 days from the beginning of each month.

4.3. All commission payments will be made without deductions. The Service Provider is responsible for all tax liabilities applicable to him. Innwaze will produce a tax invoice as required by law for the commission collected.

5. Bookings, Confirmation, and Complaints

5.1. Upon booking, the Provider will receive an indication/notification including booking details (date, composition of participants/room, price, and Customer details).

5.2. Placing an order in the system creates a direct binding contract between the Service Provider and the Customer.

5.3. The Provider must accept the Customer and provide the service according to the conditions presented in the booking. No additional payments not explicitly stated at the time of booking shall be collected from the Customer.

5.4. Handling customer complaints is the sole responsibility of the Service Provider. Innwaze is not a party to disputes regarding service or product quality.

6. Overbooking and Cancellations

6.1. In case the Business cannot provide the booked service (due to overbooking, malfunction, or any other reason):

6.1.1. Accommodation Complexes: The Provider is obliged to find the Customer an alternative of identical or higher level at his expense, including transportation if required, and compensate the Customer for distress.

6.1.2. Attractions and Activities: The Provider shall offer the Customer an alternative date acceptable to him or a full and immediate monetary refund, plus appropriate compensation if the cancellation was made close to the activity date.

6.2. The Service Provider may not unilaterally cancel a confirmed booking without a justified reason (force majeure).

6.3. Cancellation by the Customer shall be subject to the cancellation policy defined by the Provider in the system.

7. Intellectual Property, License, and Rating

7.1. The Service Provider grants Innwaze a license to use content (photos, texts, logo) uploaded to the system, for marketing and promoting the Business on the platform and in the Company's marketing channels.

7.2. The order of appearance of Businesses on the site is determined by the system algorithm and at Innwaze's discretion.

7.3. Customers are entitled to write reviews and rate the Business. Innwaze has the right to publish these reviews as they are.

8. Liability, Indemnification, and Termination

8.1. The system is provided "As Is". Innwaze is not responsible for indirect damages, communication failures, third-party server crashes, or internet network disruptions.

8.2. The Service Provider is solely responsible for the quality of service, safety of facilities, and their conformity to the description in the system.

8.3. The Service Provider shall indemnify Innwaze for any lawsuit, damage, or expense caused to it as a result of a breach of this agreement by the Provider, or due to a Customer lawsuit regarding service received at the Business.

8.4. Innwaze may block access to the system or remove a Provider immediately in cases of: non-payment of commission, false reporting, fraud, multiple customer complaints, or inappropriate behavior.

9. Jurisdiction

The laws of the State of Israel solely shall apply to this agreement. The competent courts in the city of Tel Aviv shall have unique and exclusive jurisdiction to discuss any dispute arising from this agreement.
